Terms & Conditions

Last updated: September 23, 2026

1. Agreement Overview

These Terms & Conditions govern your use of yousefsherif.com and all performance marketing services provided by Yousef Sherif ("Service Provider"). Requesting services through an accepted proposal, paid invoice, or written confirmation constitutes acceptance of these Terms. Where a separately signed agreement exists, it takes precedence in case of conflict.

2. Scope of Services

Services may include performance marketing, campaign management, media buying, creative strategy, optimization, consultation, reporting, and any additional services specified in the accepted proposal or invoice, or otherwise agreed upon in writing.

3. Payment Terms

  • Fees and due dates are set out in the applicable proposal or invoice.
  • Work may not commence until the first payment has been received, unless otherwise agreed in writing.
  • Late payments may result in suspension of services until all outstanding balances are settled.
  • Fees are exclusive of applicable taxes unless explicitly stated.

4. Advertising Spend

  • Advertising spend is entirely separate from service fees unless explicitly stated otherwise.
  • The Client funds advertising platforms directly (including but not limited to Meta, Google, and TikTok) and remains solely responsible for all platform charges.
  • The Service Provider does not take custody of ad spend and is not responsible for charges imposed by third-party platforms.

5. No Guaranteed Results

Marketing performance depends on numerous factors outside the Service Provider's control, including market conditions, competition, offer strength, and platform behavior. Therefore:

  • No guarantees are made regarding sales, revenue, leads, return on ad spend (ROAS), conversions, or any specific business outcome.
  • Case studies and past performance are illustrative only and do not guarantee future results.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate business, product, and offer information.
  • Grant required access to ad accounts, business managers, analytics, pixels, and storefronts in a timely manner.
  • Supply creative assets, branding, product information, and approvals without unreasonable delay.
  • Maintain compliance with applicable laws and advertising platform policies.

Delays caused by the Client — including withheld access, assets, or approvals — may affect campaign performance and delivery timelines.

7. Campaign Approval

The Client is responsible for reviewing and approving advertisements, creatives, copy, targeting, and landing pages before publication wherever approval is requested. Approved campaigns are deemed accepted as presented.

8. Intellectual Property

Unless otherwise agreed in writing:

  • The Client retains ownership of all materials they provide.
  • The Service Provider retains ownership of proprietary methodologies, strategies, frameworks, templates, systems, scripts, workflows, and internal documentation.
  • Upon full payment, the Client receives a license to use deliverables specifically created for their business.
  • Free resources on this site (such as the audit checklist) are licensed for the Client's internal use only and may not be redistributed or resold.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information received during the engagement. This obligation survives termination of the working relationship.

10. Limitation of Liability

To the fullest extent permitted by law:

  • The Service Provider shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost revenue.
  • Total liability shall not exceed the total amount paid by the Client under the applicable proposal or invoice.

11. Third-Party Platforms

The Service Provider is not responsible for actions or failures of third-party platforms, including account suspensions, ad disapprovals, outages, policy changes, algorithm updates, billing actions, or decisions by payment processors.

12. Refund Policy

Unless otherwise agreed in writing:

  • Service fees are non-refundable once work has commenced.
  • Time spent on strategy, audits, campaign setup, consultation, optimization, research, creative direction, and reporting is billable.

13. Cancellation & Termination

Either party may terminate ongoing services with written notice. The Client remains responsible for payment of all services performed through the effective termination date. Prepaid fees covering work already performed are non-refundable.

14. Force Majeure

Neither party shall be liable for delays or failure to perform resulting from circumstances beyond reasonable control, including natural disasters, internet or infrastructure outages, governmental actions, cyberattacks, or platform disruptions.

15. Governing Law

These Terms are governed by the laws of Egypt. The parties agree to first attempt to resolve any dispute through good-faith written negotiation before pursuing other remedies.

16. Acceptance

Accepting a proposal, paying an invoice, or confirming an engagement in writing constitutes acceptance of these Terms & Conditions.

17. Chargeback Protection

The Client agrees not to initiate chargebacks or payment disputes without first providing written notice and allowing the Service Provider a reasonable opportunity to resolve the issue. Unauthorized chargebacks may be contested using the applicable proposal or invoice, associated communications, and proof of services rendered.

18. Collection Costs

The Client agrees to reimburse reasonable costs incurred in collecting overdue amounts, including legal fees, collection agency fees, and court costs where permitted by law.

19. Independent Contractor

The Service Provider acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency between the parties.

20. Electronic Acceptance

Electronic payment, electronic signature, or written confirmation (including email or messaging) shall constitute acceptance of these Terms.

21. Portfolio Rights

Unless the Client requests confidentiality in writing before work commences, the Service Provider may reference completed work for portfolio and marketing purposes without disclosing confidential information.

22. Communications

Official communications regarding services, approvals, disputes, or termination must be made through email or another mutually agreed written channel.
